DEL MAR ROSE SOCIETY
Organized January 2000
Affiliated with the American Rose Society
 
ARTICLE I
Name

Section 1.      The Society shall be known as the Del Mar Rose Society and shall be affiliated with the American Rose Society.

ARTICLE II
Objectives

Section 1.      The object of this Society is to study, foster and encourage the culture of roses in every practicable way and exhibit roses properly and of the highest quality possible.

ARTICLE III
Membership

Section 1.      All persons interested in and who grow roses shall be eligible for membership.

Section 2.      The Board may revoke the membership of any member for just cause.

Section 3.      A single payment of dues shall entitle both husband and wife or other “double membership” to be listed as members if they so desire.

Section 4.      Members who fail to pay dues by the January 31st of any year shall be considered as having dropped their membership and their names shall be stricken from the roll.

Section 5.      Members moving to other communities shall be recommended to the Society nearest their new residence, if they so desire.

ARTICLE IV
Honorary Offices and Titles

Section 1.      A person may be elected as Honorary Member by a two-thirds (2/3) vote of the members present and voting.  Such elections shall specify whether the membership is annual, terminating at the end of the current year or for life. 

Section 2.      The honorary title of President-Emeritus, as defined in the ARS Bylaws may be bestowed upon any past President that the Society chooses to honor by a two-thirds (2/3) vote of those present and voting.

ARTICLE V
Voting

Section 1.      Only paid members shall vote, it being understood that “double memberships” shall have one vote per double membership.

Section 2.      Voting shall be by ballot when there is any contest for office.

ARTICLE VI
Officers

Section 1.      The officers of this Society shall be a President, First Vice President, Second Vice President, a Secretary and Treasurer.

Section 2.      Elections shall be held at the October meeting.  Officers shall hold office for twelve (12) months, beginning the following January 1st, or in an emergency, until their successors are elected.

Section 3.      No officer shall be eligible to serve more that two (2) consecutive terms in the same office.

ARTICLE VII
Duties of Officers

Section 1.      The President shall preside at all meetings of the Society and of the Board of Directors, may call meetings of the Board of Directors at any time or meetings of the Society with the approval of the Board of Directors, shall be an ex-officio members of all committees, except the Nominating Committee and shall appoint Appointive Standing Committee Chairmen and all committees not otherwise provided for in the bylaws.  The President or Treasurer shall sign checks.

Section 2.      The First Vice President shall be Program Chairman, shall plan activities of the Society and shall preside when the President is absent or otherwise unable to act.

Section 3.      The Second Vice President shall be the Membership Chairman, shall widen the membership to include as many interested persons as possible and shall preside in the absence of the President and First Vice President.

Section 4.      The Secretary shall keep records of all meetings of the Society, record all votes and maintain all necessary contacts with the American Rose Society.

Section 5.      The Treasurer shall receive and account for all funds of the Society, pay all bills and keep funds on deposit in a bank approved by the Board of Directors. The Treasurer or President shall sign checks.

ARTICLE VIII
Board of Directors

Section 1.      The Board of Directors shall consist of the officers and the Elected Standing Committee chairmen

Section 2.      The Immediate Past President shall be a non voting member of the Board.

Section 3.      The Board of Directors shall plan the affairs of the Society and shall be empowered to transact any business not involving change of policy of the Society.  In the event of a vacancy, the Board shall elect a member to fill the unexpired term.

ARTICLE IX
Elective Standing Committees

Section 1.      The chairman of the Public Relations Committee and the chairman of the Hospitality Committee shall be members of the Board of Directors.

ARTICLE X
Appointive Standing Committees

Section 1.      The Appointive Standing Committee chairmen shall include the Society Rose Show Chairman, San Diego County Fair Chairman, the Refreshment Chairman, Games, Prizes and Gifts Chairman, Special Events Chairman, the Webmaster, e-mail Chairman and Historian.

Section 2.      The Refreshment Chairman and the Games, Prizes and Gifts Chairman shall serve on the Hospitality Committee.

Section 3.      The Society Rose Show Chairman San Diego and Special Events chairman shall serve on the Program Committee.

Section 4.      The chairmen of the Garden Tour, Thanksgiving event, and day trips shall serve on the Special Events Committee.

Section 5.      The terms of all committees shall expire on December 31st if not on an otherwise specified date.

ARTICLE XI
Quorum

Section 1.      A quorum for any regular meeting shall consist of a majority of the members of the Society.

Section 2.      A quorum for any meeting of the Board of Directors shall consist of a majority of the officers and the Elective Standing Committee chairmen.

ARTICLE XII
 Meetings

Section 1.      Meetings shall be held at seven o’clock (7:00 p.m.) on the last Thursday of each month. Meetings shall not be held in November or December.

Section 2.      The Board of Directors shall meet prior to regular meetings unless otherwise provided; time and place to be determined by the President.

ARTICLE XIII
Nominations and Elections

Section 1.      A Nominating Committee of three (3) members shall be elected from the floor at the September meeting.  The chairman shall be elected by and from the Nominating Committee.

Section 2.      The committee shall present a slate of candidates for the officers and Elective Standing Committee chairmen at the October meeting.  Nominations from the floor are in order at that time.

Section 3.      Any member of the Nominating Committee is eligible to serve on the Board of Directors. 

ARTICLE XIV
Dues

Section 1.      Each individual member or “double membership” such as husband-wife, sister-brother, etc. (under same household), shall pay annual dues for membership in the Society.

Section 2.      Dues for new members in the Society shall be prorated on a semi-annual basis.

Section 3.      Dues shall be payable on or before October 1 and delinquent after January 31.

Section 4.      Annual dues for individual members or “double membership” shall be 40 dollars ($40).

ARTICLE XV
Parliamentary Authority

 Section 1.      The current edition of Robert’s Rules of Order Newly Revised shall be the authority on all questions of parliamentary law, unless in conflict with these bylaws or the bylaws of the American Rose Society.

Section 2.      In any case where these bylaws conflict with the bylaws of the American Rose Society, the latter shall prevail.

ARTICLE XVI
Amendments

Section 1.      These bylaws may be amended at any regular meeting of the society by a two thirds (2/3) vote of those present and voting, provided written notice has been given to each member at least thirty (30) days in advance, at the previous regular meeting or electronically.
